Sources tell People the "Brokeback Mountain" star has accepted Tony Award-winning director Thomas Kail's proposal and is pregnant with his baby.
Williams is already mum to Matilda, her 14-year-old daughter from her relationship with the late Heath Ledger.
She and Kail worked together on the TV series "Fosse/Verdon" and news of their engagement comes less than a year after the actress split from musician Phil Elverum, who Williams wed in 2018.
This will also be Kail's second marriage - he was previously married to actress Angela Christian.
